Terms of Service – Pan Am Shop

OVERVIEW
Welcome to the Pan Am Shop. The terms "we", "us" and "our" refer to Pan Am Global Holdings LLC, doing business as Pan American World Airways ("Pan Am Brands"). Pan Am Brands operates this website at shop.panam.com, including all related information, content, features and tools (the "Services"). The Services are a showcase of officially licensed Pan Am products that are made and sold by our licensed partners ("licensees").

Pan Am Brands does not sell products, take payments, process orders, ship products, or handle returns or refunds. When you click a "Shop at [maker]" button, you leave our site and go to the licensee's own online store. The licensee completes your purchase, and the licensee's own terms, prices, taxes and privacy policy apply to it.

The Services are powered by Shopify, which we use to display the Services to you.

These terms, together with any policies referred to in them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with or using the Services, you agree to these Terms of Service and our Privacy Policy (/policies/privacy-policy). If you do not agree, please do not use the Services.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you confirm that you are at least the age of majority in your state or province of residence, or that you have given consent for any of your minor dependents to use the Services on devices you own, purchase or manage.

You do not need an account to browse the Services, and we do not ask for or collect payment, billing or shipping information. If you choose to buy a product, you will provide that information directly to the licensee on the licensee's own site, under the licensee's terms and privacy policy.

SECTION 2 - PRODUCTS
The products shown on the Services are officially licensed Pan Am products made and sold by our licensees. Product photographs, descriptions, prices and availability shown on the Services are supplied by or taken from the licensees and are shown for information. We work to keep them accurate, but colors and product appearance may look different on your screen depending on your device and its settings.

Licensees decide which products they make and sell, and they may change or discontinue products, or limit availability by quantity, region or country, at any time. Product descriptions on the Services may change without notice, and we may add or remove products from the Services at any time.

We do not guarantee that the appearance or quality of any product you buy from a licensee will meet your expectations or match exactly what is shown on the Services. The product details on the licensee's site apply to your purchase.

SECTION 3 - ORDERS
All orders are placed on the licensee's own site, not with us. Whether an order is accepted, changed or cancelled is decided by the licensee, under the licensee's terms.

We can't see, change or cancel orders placed with licensees. For any question about an order, including order status, changes, cancellations, returns or refunds, please contact the licensee directly using the contact details on their site or in your order confirmation.

SECTION 4 - PRICES AND BILLING
Pan Am Brands does not charge you anything and does not take payments. Prices shown on the Services are the licensee's listed prices on the day we last checked them and are for your information only.

Licensees set and change their own prices, discounts, promotions and stock levels, and some prices shown on the Services are converted from other currencies. Because of this, the price shown on the Services may differ from the price on the licensee's site. The price and availability shown on the licensee's site are final.

Taxes, shipping, handling, customs and import charges, payment methods and billing are all set and handled by the licensee, under the licensee's terms.

SECTION 5 - SHIPPING, RETURNS AND REFUNDS
The licensee you bought from handles all shipping and delivery, returns, exchanges, refunds and warranty questions for your purchase, under the licensee's own policies. Please contact the licensee directly using the details on their site or in your order confirmation.

Pan Am Brands does not ship products and is not responsible for shipping or delivery times, delays, lost or damaged shipments, returns, refunds or warranty claims.

SECTION 6 - INTELLECTUAL PROPERTY
The Services, including all text, displays, images, graphics, video and audio, and the design, selection and arrangement of them, are owned by Pan Am Brands, its affiliates or licensors, and are protected by U.S. and foreign copyright, trademark, patent and other intellectual property laws.

The Pan Am names, logos, globe, wordmarks, designs and slogans shown on the Services are trademarks owned by Pan American World Airways, LLC and its affiliates, and the licensees use them under license. You must not use them without our prior written permission. Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans on the Services are the trademarks of their respective owners.

These Terms let you use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material on the Services without our prior written consent. Except as expressly stated in these Terms, nothing in these Terms grants you any license or other right under any patent, trademark, copyright or other intellectual property of Pan Am Brands, its affiliates, its licensors, Shopify or any third party. Unauthorized use of the Services may violate intellectual property laws. All rights not expressly granted are reserved.

SECTION 7 - OPTIONAL TOOLS
You may be given access to tools offered by third parties as part of the Services, which we do not monitor and have no control or input over. You agree that we provide access to these tools "as is" and "as available", without any warranties, representations or conditions of any kind and without any endorsement. We have no liability arising from or relating to your use of optional third-party tools. Any use of optional tools offered through the Services is entirely at your own risk and discretion, and you should make sure you are familiar with and approve of the terms on which the relevant third-party provider(s) offer them. We may also offer new features through the Services in the future, which are also part of the Services and subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS
The Services contain materials and links to websites provided or operated by third parties, including the licensee stores you reach through "Shop at [maker]" buttons, and may include embedded third-party features. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites. Links to licensee sites don't make us responsible for their content or practices. If you leave the Services to visit these materials or sites, you do so at your own risk.

We are not liable for any harm or damages related to your access to any third-party website, or your purchase or use of any products, services, resources or content on any third-party website, including licensee sites. Please carefully review the third party's terms, policies and practices and make sure you understand them before you make any purchase or other transaction. Complaints, claims, concerns or questions about third-party products and services, including products bought from licensees, should be directed to that third party.

SECTION 9 - RELATIONSHIP WITH SHOPIFY
The Services are powered by Shopify, which we use only to display the Services to you. Pan Am Brands does not sell products through the Services. Any purchases you make are made directly with the licensee on the licensee's own site, not with Pan Am Brands or Shopify.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any purchase you make from a licensee, or of the Services, including any injury, damage or loss resulting from products or services. You expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to the Services and to your purchases and transactions with licensees.

SECTION 10 - PRIVACY POLICY
Any personal information we collect through the Services is subject to our Privacy Policy, available at /policies/privacy-policy, and certain personal information may be subject to Shopify's Privacy Policy, available at https://www.shopify.com/legal/privacy. By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services. Information you submit to the Services will be shared with Shopify and with third parties that may be located in countries other than where you live, in order to provide the Services to you. Please review our Privacy Policy for details on how we, Shopify and our service providers use your personal information.

When you buy from a licensee, the information you give on the licensee's site is collected and used by the licensee under the licensee's own privacy policy, not ours.

SECTION 11 - FEEDBACK AND INQUIRIES
If you submit, upload, post, email or otherwise send us any ideas, suggestions, feedback, proposals, plans or other content, including through the contact or collaboration inquiry forms (together, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display that Feedback in any medium and for any purpose, including commercial use, except that we will treat a collaboration proposal you clearly mark as confidential with reasonable care. You confirm that you own or have all necessary rights to your Feedback and that it complies with these Terms. We have no obligation to keep Feedback confidential, to pay you for it, or to respond to it.

We may, but are not required to, monitor, edit or remove Feedback that we decide, in our sole discretion, is unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable, or that violates anyone's intellectual property or these Terms. You agree that your Feedback will not violate any third party's rights and will not contain unlawful material or malware. You may not use a false email address or pretend to be someone else. You are solely responsible for your Feedback and its accuracy.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS
Sometimes information on the Services may contain typographical errors, inaccuracies or omissions, for example in product descriptions, prices, currency conversions, promotions, offers, shipping details or availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information at any time without prior notice. The information on the licensee's site applies to your purchase.

SECTION 13 - PROHIBITED USES
You may use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, provincial or state regulations, rules, laws or local ordinances; (c) to infringe or violate our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage or intimidate any of our employees or any other person; (e) to send false or misleading information; (f) to send, knowingly receive, upload, download, use or re-use any material that does not comply with these Terms; (g) to send, or arrange the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam" or any similar solicitation; (h) to impersonate or attempt to impersonate any other person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Pan Am Brands, our licensees, Shopify or users of the Services, or expose them to liability.

In addition, you agree not to: (a) upload or transmit viruses or any other malicious code that will or may affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm or pretext the Services; (e) use any robot, spider, scraping, data gathering or extraction tools, automatic devices or processes, AI tools (such as agentic AI) or other automated or manual means to access the Services; or (f) interfere with, bypass or circumvent the security or authorization features, robot exclusion headers or other measures we use to restrict access to the Services. We reserve the right to suspend or end your access to the Services at any time, without notice, if we determine that you have violated any part of these Terms.

SECTION 14 - AGENTS
14.1 This section ("Agent Terms") applies if you use, allow, enable or cause the deployment of an Agent to access, use or interact with any of the Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, and that can run on behalf of a person or on a person's device without direct supervision.

14.2 No Agent may access, use or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with the requirements in section 14.4 below. In addition, no Agent may access, use or interact with the Services if we have asked that the Agent not do so.

14.3 We may limit, including by technical measures, whether and how any Agent accesses, uses and interacts with the Services.

14.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the name of the Agent by including the following in the request's user agent string: "Agent/[agent name]"; (ii) not conceal or obscure that any access, use or interaction is from an Agent, such as by (a) mimicking human behavior and interaction patterns, or (b) completing or circumventing CAPTCHAs or other measures intended to tell computers and humans apart; (iii) respond truthfully to any question or prompt asking whether interactions are coming from a human or a computer; and (iv) not circumvent or otherwise avoid any measure intended to block, limit, modify or control whether and how Agents access, use or interact with the Services.

SECTION 15 - TERMINATION
We may end this agreement or your access to the Services (or any part of them) in our sole discretion, at any time and without notice. The following sections will continue to apply after any termination: Intellectual Property, Feedback and Inquiries, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.

SECTION 16 - DISCLAIMER OF WARRANTIES
The information on or through the Services is provided for general information purposes only. We do not guarantee the accuracy, completeness or usefulness of this information, and any reliance you place on it is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on these materials by you or any other visitor to the Services, or by anyone who may be informed of their contents.

Any warranty for a product you buy is provided by the licensee you bought it from, under the licensee's own terms, and not by Pan Am Brands.

EXCEPT AS EXPRESSLY STATED BY PAN AM BRANDS, THE SERVICES AND ALL PRODUCTS SHOWN ON OR OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE, REPRESENT OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 17 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL PAN AM BRANDS, ITS AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PURCHASED FROM LICENSEES OR OTHER THIRD PARTIES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 18 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Pan Am Brands, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of (1) your breach of these Terms or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.

We will notify you of any claim covered by this section, but a failure to notify you promptly will not relieve you of your obligations unless you are materially prejudiced by it. We may control the defense and settlement of the claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent (which you will not unreasonably withhold). You will cooperate in the defense of covered claims, including by providing relevant documents.

SECTION 19 - SEVERABILITY
If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will still be enforced to the fullest extent permitted by applicable law, and the unenforceable portion will be treated as removed from these Terms. This will not affect the validity and enforceability of any other provisions.

SECTION 20 - WAIVER; ENTIRE AGREEMENT
If we fail to exercise or enforce any right or provision of these Terms, that does not mean we have waived that right or provision. These Terms and any policies or operating rules we post on the Services make up the entire agreement and understanding between you and us and govern your use of the Services. They replace any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including any prior versions of these Terms). Your purchases from licensees are governed by the licensee's own terms. Any ambiguities in the interpretation of these Terms will not be construed against the drafting party.

SECTION 21 - ASSIGNMENT
You may not delegate, transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent, and any attempt to do so will be void. We may transfer, assign or delegate these Terms and our rights and obligations without your consent and without notice to you.

SECTION 22 - GOVERNING LAW
These Terms and any separate agreements under which we provide you the Services are governed by and interpreted under the laws of the State of California, without regard to its conflict of law rules. You and Pan Am Brands consent to venue and personal jurisdiction in the state and federal courts located in Orange County, California.

SECTION 23 - HEADINGS
The headings in these Terms are for convenience only and do not limit or otherwise affect these Terms.

SECTION 24 - CHANGES TO TERMS OF SERVICE
You can review the most current version of these Terms at any time on this page. We reserve the right, in our sole discretion, to update, change or replace any part of these Terms by posting updates and changes on the Services. It is your responsibility to check this page periodically for changes. We will notify you of any material changes to these Terms as required by applicable law, and those changes will take effect on the date specified in the notice. Your continued use of or access to the Services after any changes are posted means you accept those changes.
